Understanding securitisation
An educational guide to how securitisation vehicles governed by the law of 22 March 2004 work.
Key concepts
In Luxembourg, a securitisation undertaking is a company or fund set up to acquire assets or assume risks — receivables, loans or income from third-party activities — and finance them by issuing securities.
The vehicle takes over a risk from an originator and issues securities whose value and return depend on the underlying assets.
Investors buy the securities; the proceeds fund the assets, and the cash flows generated pay investors in a defined order.
How it works
A securitisation vehicle pools assets that produce a predictable cash flow, or a right to a future cash flow, and turns them into securities such as shares or bonds.
Investors receive the income from these assets but also bear the risk that those cash flows are uncertain. This risk-return profile lets originators transfer risk and gives investors access to specific investment characteristics.
