1. General warning
Investing in securities issued by a securitisation vehicle involves significant risk. You may lose some or all of the amount invested. Past results, projections or examples are not a reliable indicator of future results.
This disclosure is not exhaustive. Each transaction has its own documentation, which describes its specific risks and prevails over this page.
2. No guarantee or capital protection
Securities are not bank deposits, are not guaranteed by the company, any shareholder, director or third party, and are not covered by any deposit-guarantee or investor-compensation scheme.
3. Limited recourse
Where transaction documents provide for limited recourse, investors’ claims are limited to the assets of the relevant compartment, as set out in the applicable articles and transaction documents. If those assets are insufficient, investors generally have no claim against other compartments or other assets of the company. Segregation of compartment assets is not capital protection, and the exact recourse and priority terms of each issuance are defined only in its definitive documentation.
4. Credit and counterparty risk
Payments depend on the borrowers, originators and counterparties meeting their obligations. A default or insolvency of any of them may reduce or delay payments.
5. Underlying-asset and sector risk
The value of entertainment, media, rights, real or other assets may fall or produce lower cash flows than expected, for commercial, technological, legal or market reasons.
6. Liquidity risk
There may be no secondary market for the securities. You may be unable to sell them before maturity, or only at a significant discount. Transfers may be restricted by the transaction documents.
7. Payment priority (waterfall) risk
Cash flows are distributed in a predefined order. Fees, costs and senior classes are paid before junior classes, which bear losses first.
8. Market, interest-rate and currency risk
Changes in interest rates, market conditions or exchange rates — for example between EUR and USD — may affect the value of and returns on the securities.
9. Share-consideration and equity risk
Where consideration or returns are linked to shares of another company, their value may be volatile, illiquid or fall to zero, and reference prices may not be achievable.
10. Transaction and documentation risk
Proposed transactions may not complete, may change, or may depend on conditions precedent, approvals or amendments to the corporate purpose that are not obtained.
11. Legal, regulatory and tax risk
Changes in Luxembourg or foreign law, regulation or tax treatment may adversely affect a transaction or investors. Tax consequences depend on each investor’s situation.
12. Operational and concentration risk
A compartment may depend on a limited number of assets, counterparties or service providers. Errors, fraud, system failures or the loss of key persons may cause losses.
13. Suitability
These securities are suitable only for investors able to evaluate the risks and bear a total loss. Seek independent legal, tax and financial advice before any decision. Confirming an acknowledgement on this website does not establish eligibility.
